Corporate Counsel

About the role [компания] is a US-incorporated AI company whose technology turns two photos into precise body measurements for enterprise clients worldwide. We’re hiring a remote generalist legal counsel to handle the company’s day-to-day legal work: customer contracts, data protection, security compliance, contractor agreements, and corporate housekeeping. You’ll work directly with the COO and our senior legal counsel, alongside external US counsel. It’s a hands-on role for someone who moves fast, handles many requests at once, is comfortable working in English, and has working knowledge of US law and of US & EU privacy regulations. Responsibilities - Draft, review, and negotiate customer contracts (MSAs, order forms, amendments) and summarize redlines for the commercial team - Prepare DPAs and data-transfer agreements, and support GDPR and US privacy compliance - Complete client security and vendor-risk questionnaires, and maintain policies in Vanta - Draft NDAs and contractor, consultant, and advisor agreements - Prepare corporate documents (consents, certificates) and keep the data room and cap-table records up to date - Support equity transactions and investor or buyer due diligence, including sanctions and KYC checks - Work with senior counsel, external US counsel, registered agents, and insurance brokers - Act as first-line legal contact for the team and prepare legal updates for the board Requirements - 5+ years of in-house or law-firm experience with international tech or SaaS contracts - Strong English (C1+) and able to independently review and redline documents governed by US law - Working knowledge of GDPR & US privacy laws (CCPA/CRPA & biometric); familiarity with Delaware corporate basics is a plus - Experience with AI companies or AI-related legal issues (training data rights, biometric data, EU AI Act) - Uses AI tools in daily legal work (contract review, drafting, research) - Experience with Vanta, SOC 2 or security questionnaires is a strong plus - Organized and fast, able to handle many small requests at once What We Offer - Fully remote, full-time engagement with flexible working hours - Competitive compensation - Open, supportive team culture with clear communication - Opportunity to thrive in a fast-moving, evolving environment
